Terms and Conditions
Hortilight's general terms and conditions of sale and delivery apply to our business agreements with dealers and other professional customers.
1. Definitions and applicability
Hortilight refers to the business that sells and supplies products under this trade name, located at Voorstreek 112A, 8911 JV Leeuwarden, the Netherlands, registered with the Dutch Chamber of Commerce under number 01124743.
Customer means any natural person or legal entity acting in the course of a profession or business.
These terms and conditions apply to all quotations, offers, orders, agreements and deliveries by Hortilight. Hortilight sells exclusively to business customers.
Deviations are valid only if agreed in writing. The customer's general purchasing conditions are expressly rejected unless otherwise agreed in writing.
2. Quotations and agreements
All quotations and offers are non-binding unless expressly stated otherwise in writing.
An agreement is concluded when Hortilight confirms an order in writing, including by email.
Hortilight may refuse orders before confirmation, including due to insufficient stock or changes in delivery possibilities.
Changes to confirmed orders are valid only after written acceptance by Hortilight.
Product information is provided with the greatest possible care. Obvious errors or omissions do not bind Hortilight.
3. Prices and taxes
All prices are stated in euros and exclude VAT, shipping costs and any other additional charges, unless otherwise indicated.
Hortilight may change its prices. Price changes do not affect orders already confirmed unless otherwise agreed in writing.
Any additional charges will be communicated before the agreement is concluded.
4. Payment
Invoices must be paid within 14 days of the invoice date unless otherwise agreed in writing.
If the payment period is exceeded, statutory commercial interest may become payable, together with legally permitted extrajudicial debt collection costs.
Hortilight may suspend further deliveries in the event of overdue payment, insofar as legally permitted and justified.
For new customers, or where reasonable business grounds exist, Hortilight may require advance payment before confirming an order.
5. Delivery and delivery times
Hortilight generally supplies products from its own stock but may also arrange direct delivery through suppliers or logistics partners.
Delivery takes place at the agreed delivery address. Stated delivery times are estimates unless a binding delivery date has been agreed in writing.
In the event of a delay, Hortilight will inform the customer as soon as reasonably possible. The consequences of exceeding the delivery period will be assessed in accordance with the agreement and applicable law.
6. Shipping costs and transport risk
Shipping and transport costs are determined for each order and communicated before the agreement is concluded. These costs are borne by the customer unless otherwise agreed.
The risk of loss or damage remains with Hortilight until the products have been handed over to the customer or a designated person at the agreed delivery address.
The risk passes to the customer upon delivery. Hortilight handles claims with the carrier when damage has occurred during transport.
7. Inspection and complaints
The customer must inspect the products as soon as reasonably possible after receipt.
Visible damage, missing products and incorrect deliveries should preferably be reported in writing within 5 working days of receipt.
In the event of transport damage, the customer is requested to provide photographs of the products and packaging.
Hidden defects must be reported within a reasonable period after discovery. Exceeding the stated period of 5 working days does not automatically result in the loss of statutory rights.
8. Warranty
The warranty period varies by product and is specified in the product information, quotation or order confirmation.
The warranty covers defects in materials and workmanship under normal use, in accordance with the applicable warranty conditions.
Warranty claims must be submitted to Hortilight with a description of the defect and, where possible, proof of purchase.
Damage caused by improper use, incorrect installation, unauthorised modifications or external causes is not covered by the commercial warranty insofar as the damage resulted from those circumstances.
For a valid claim, Hortilight will provide an appropriate solution, such as repair, replacement or another agreed resolution. Statutory rights remain unaffected.
9. Returns
Correctly supplied products may only be returned with Hortilight's prior written consent.
Hortilight may refuse a return request. Any conditions regarding product condition, packaging and return costs will be agreed in advance.
Products returned without prior authorisation do not have to be accepted. Statutory rights relating to defective or incorrectly supplied products remain unaffected.
10. Cancellation
A confirmed order may only be cancelled with Hortilight's prior written consent, without prejudice to statutory termination rights.
Hortilight may refuse cancellation, for example if products have already been dispatched or specially ordered.
Demonstrable and reasonable cancellation costs may be charged, provided that prior arrangements have been made regarding such costs.
11. Retention of title
Delivered products remain the property of Hortilight until the customer has fully fulfilled the payment obligations for which retention of title may be stipulated under Dutch law.
The customer may resell products in the ordinary course of business, even if they have not yet been paid for in full.
Outside the ordinary course of business, unpaid products may not be pledged or otherwise used as security without prior written consent.
The exercise of retention of title is subject to applicable law.
12. Liability
Hortilight's liability for damage arising from or relating to an agreement is, insofar as legally permitted, limited to the invoice amount excluding VAT of the delivery concerned.
Insofar as legally permitted, Hortilight is not liable for indirect damage, including consequential damage, loss of profit, loss of revenue, production losses and business interruption losses.
These limitations do not apply in cases of intent or deliberate recklessness on the part of Hortilight or its management, or where liability cannot be excluded or limited under mandatory law.
13. International deliveries
Hortilight may supply business customers within and outside the European Union.
Deliveries outside the EU may be subject to import duties, local taxes, customs charges and other levies. These are payable by the customer unless otherwise agreed in writing.
Responsibilities for customs formalities, export documentation and import obligations are determined by the agreed delivery arrangements.
Where Incoterms are agreed, the relevant rule and version will be expressly stated. Unless otherwise agreed, the allocation of risk under Article 6 applies.
14. Force majeure
Hortilight is not liable for failure or delay in fulfilling obligations where this results from force majeure.
Force majeure includes circumstances beyond Hortilight's reasonable control that prevent performance, including serious transport disruptions, natural disasters, war, government measures, import and export restrictions and disruptions at suppliers that are not attributable to Hortilight.
Hortilight will inform the customer as soon as reasonably possible. Affected obligations will be suspended during force majeure insofar as performance is impossible as a result.
If force majeure continues for more than 60 days, either party may terminate the unperformed part of the agreement in writing. Advance payments relating to products that will definitively not be delivered will be refunded.
15. Applicable law and disputes
All quotations, agreements and deliveries by Hortilight are governed by Dutch law.
The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
Disputes will be submitted to the competent court in the Northern Netherlands judicial district, Leeuwarden location, insofar as this choice of jurisdiction is valid.
Mandatory legal provisions and applicable rules concerning international jurisdiction remain unaffected.
16. Final provisions
If any provision of these terms and conditions is found to be void or voidable, the remaining provisions will remain in force.
Where necessary, the parties will agree on a legally valid replacement provision that reflects the original intention as closely as possible.
Hortilight may amend these terms and conditions. Amended terms apply to new agreements after they have been properly declared applicable and made available.
These terms and conditions are available on Hortilight's website and can also be provided upon request.
